General conditions of sale of the Mymax France website

CONTRACT FORMATION

1.1 All price proposals, offers and tenders are made and all Orders are accepted subject to the application of these General Conditions of Sale. Subject only to clause 1.2, all other terms, conditions or warranties whatsoever are excluded from any Agreement between the Company and any Client, except in the event of express written acceptance by one of the directors of the Company or a duly authorized representative thereof.

1.2 Sales are not definitively concluded only after express written acceptance by the Company of the Customer's orders even if said orders follow sales offers issued by the Company. The same applies to any order made verbally by the Customer, by telephone or otherwise. The recording of the said order by the Company constitutes proof of it, in particular with regard to the type of Product, the quantity, the place and the date of delivery.

1.3- No modification of an order, additional order or partial or total cancellation of an order will bind the Company unless it expressly accepts it in writing. The placing of an order as well as its execution necessarily entails the Customer's acceptance of these general conditions of sale and waiver of any contrary clauses which may appear in its own special or general conditions of purchase, as well as all other documents.

These general conditions of sale can only be derogated from by express written agreement of the Company.

1.4 Any order must bear on a minimum amount of €500 (excl. tax excluding royalties for private copying and environmental contribution). Orders less than this amount will be increased by the applicable flat rate transport costs (see Clause 4).

1 .5 In the event of a conflict between these General Conditions of Sale and the conditions expressly stipulated by the Company in a quotation or an Order confirmation, the latter shall prevail.

1.6Price proposals and offers for delivery of goods from the Company's stock are made on the condition that the Goods in question are unsold on the date of receipt of the Order .

1.7 Where a statement (other than those in the document(s) attached to the price quotation or Order acknowledgment) has been made to the Customer by the Company, or its officers, employees or agents, and taken into consideration by the Customer, the latter will state in a document that he will attach to the Order or report its content on the Order, so that the Company can confirm, reject or clarify this point and submit a new price proposal, if necessary. Under no circumstances will the Company be liable, or held as such, for any statement which the Customer would rely on, if such a statement is not attached to the Order, or is not reported on the Order and subsequently confirmed by the Company.

1.8 The Seller is not bound by any offers to sell that it may have made in relation to Products held in stock if these Products were sold between the when the Seller has established sales offers and when it has accepted the Customer's orders.

PRICES

2.1 The prices quoted cover delivery on working days (as defined in clause 4) during normal business hours and exclude VAT which will be charged, if applicable, at the appropriate rate applicable on the date of invoice by the Company.

2.2 Prices shown:

(2). are understood (unless expressly agreed in writing by the parties) net, leaving offices or warehouses, excluding taxes and, if any, excluding royalties for private copying, excluding contributions of any type (DEE, Corépiles, etc.). The cost of packing and packaging and, where applicable, shipping are extra.
